Terms of Sale and Software License

For LabelVault, KeysWalletWatch and the other programs Beckham Enterprises sells. Last updated September 28, 2026.

These terms are an agreement between you and Beckham Enterprises, LLC, a California limited liability company ("Beckham Enterprises", "we", "us"), for any software program we sell (each a "Product") and any online service that comes with it. By installing, activating or using a Product, starting a trial, or buying a license or plan, you agree to them. If you don't agree, don't install or use the Product.

A Product may have its own terms that add to these. KeysWalletWatch is covered by its Terms of Sale and License Agreement, which apply to it in place of these.

In short

  • A license lets you use the program on the number of computers you bought it for. It is a license to use the software, not a sale of it. What each license includes (computers, updates period) is shown on the Product's page at the time you buy.
  • Try before you buy. Every Product has a free trial. Because of that, all sales are final and not refundable, except where the law says otherwise.
  • No guarantees beyond the law. Products are provided "as is", and our liability is limited to what you paid us for the Product in the last 12 months.

1. The license

When you buy a license and activate its key, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Product in object-code form on the number of computers you bought it for, which you own or control, for your own personal or internal business use. Unless the Product page says otherwise, the license is perpetual and includes the updates we publish during the updates period shown on the Product page; we are not obliged to publish any particular update. You may move a license between your own computers by signing one out and activating another.

You may not: copy, sell, rent, lease, lend, sublicense, share or distribute the Product or your license key; use more computers than you bought or publish a key; decompile, disassemble or reverse engineer the Product, except to the extent the law expressly allows despite this restriction; remove or alter notices, license checks or copy protection; or use the Product to build a competing product or to break the law. Products are licensed, not sold; we keep all rights not granted here. Open-source components included in a Product remain under their own licenses.

2. Free trials

A trial lets you use the Product for the period shown on its page. When it ends without a license, the Product may stop working or limit what it does. We may change or end trial offers at any time.

3. Online services

Some Products include or offer online services (for example license activation or sync). They are provided "as available"; we may change, suspend or discontinue them. A paid service plan is sold separately from the license, paid in advance for the period shown, and not renewed automatically unless the Product page says so. If we permanently discontinue a paid service during a paid period, we will refund the unused portion pro rata.

4. Prices, payment and no refunds

Prices are in US dollars; tax is added at checkout where it applies. Payments are processed by Stripe, which may act as the reseller and merchant of record for your purchase; its terms also apply to the payment.

All sales are final. Because the free trial lets you use the full Product before you pay, we do not offer refunds, credits or exchanges for licenses or service plans, whether or not you use them, except: (a) where the law gives you a right that cannot be waived; (b) the pro-rata refund in section 3; and (c) billing errors, such as a duplicate charge or a key that was never delivered, which we will correct when you contact us.

If you are in the EU, UK or another place with a right of withdrawal for digital content: by completing your purchase you ask us to supply the license key immediately and acknowledge that you lose your right of withdrawal once the key has been delivered. For a service plan, you ask that the service starts immediately.

If a payment is reversed or charged back, we may deactivate the related license or plan.

5. Your data and responsibilities

You are responsible for your data, your backups, your passwords and keys, and the security of your computers. Where a Product encrypts your data with a password or key only you hold, we cannot recover that data if you lose it.

6. No warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCTS, TRIALS, ONLINE SERVICES, UPDATES AND ANY SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND THAT A PRODUCT OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL NOT BE LOST. Some places don't allow excluding implied warranties, so some of these exclusions may not apply to you.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BECKHAM ENTERPRISES AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ACCESS, PROFITS, REVENUE, BUSINESS OR GOODWILL, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO A PRODUCT OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THAT PRODUCT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$25 IF YOU PAID NOTHING. These limits don't apply to liability that the law does not allow to be limited.

8. Indemnity

You agree to defend, indemnify and hold harmless Beckham Enterprises and its owners, members, employees and contractors from claims, losses and costs (including reasonable legal fees) arising from your misuse of a Product or service, your breach of these terms, or your violation of law or of anyone else's rights.

9. Termination

Your license ends automatically if you breach these terms; we may then deactivate your key and any plan. You may end these terms by uninstalling the Product. Sections 4 to 12 survive termination.

10. Governing law and disputes

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules; the UN Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be brought exclusively in the state or federal courts located in Solano County, California, except that either of us may bring an individual claim in small-claims court. Claims must be brought individually, not as a plaintiff or class member in any class or representative proceeding. Mandatory consumer protections of your home country are not affected.

11. Export and legal use

You agree to follow the export-control and sanctions laws that apply to you, and not to use a Product where or by whom that is prohibited.

12. General

These terms, any Product-specific terms and our privacy policy are the entire agreement about that Product. If a provision is found unenforceable, it is limited to the minimum extent needed and the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, sale or reorganisation. We may update these terms; the version and date on this page apply, and continuing to use a Product or service after a change means you accept it.
